1. Acceptance of Terms
By accessing our website at renotechs.com, requesting a system review, entering into a service agreement, or otherwise engaging with Reno Techs, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use our website or services.
These Terms apply alongside any separate signed services agreement or statement of work between your organization and Reno Techs. In the event of a conflict, the signed agreement controls.
2. Description of Services
Reno Techs provides custom software engineering, business process automation, system integrations, and related technology consulting services ("Services") to business clients.
Specific deliverables, timelines, payment schedules, and acceptance criteria are defined in individual Statements of Work ("SOW") or Services Agreements signed between Reno Techs and the client. These Terms govern the general relationship and apply where no specific agreement term addresses a matter.
We reserve the right to decline any engagement, terminate a proposal process, or discontinue services to a client at our discretion, subject to any obligations in a signed agreement.
3. Client Obligations
In engaging our Services, you agree to:
• Provide accurate and complete information required for us to deliver the Services
• Designate a point of contact with authority to make project decisions
• Review and provide feedback on deliverables within agreed timeframes
• Ensure your organization has the necessary rights and licenses to any materials, data, or systems provided to us
• Comply with all applicable laws in connection with your use of the systems we build
• Not use the systems we build for unlawful purposes, including but not limited to data theft, fraud, harassment, or violation of third-party intellectual property rights
Delays caused by failure to meet these obligations may result in revised project timelines and additional charges.
4. Payment Terms
Payment terms are specified in each signed SOW or Services Agreement. Unless otherwise agreed in writing:
• Invoices are due within 30 days of the invoice date
• Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower
• Reno Techs reserves the right to suspend or withhold delivery of work if payment is overdue by more than 30 days
• All fees are stated in US Dollars unless otherwise specified
• Deposits and milestone payments are non-refundable once the corresponding work phase has begun, unless Reno Techs fails to deliver the agreed scope
For EU-based clients, invoices comply with applicable VAT regulations and are issued with necessary tax identification information.
5. Intellectual Property
5.1 Client-Owned Deliverables
Upon receipt of full payment for a project, Reno Techs assigns to the client all rights, title, and interest in the custom software and deliverables specifically created for that client under the applicable SOW, to the extent such deliverables are original works created solely for that engagement.
5.2 Reno Techs IP and Tools
Reno Techs retains ownership of all pre-existing intellectual property, frameworks, libraries, methodologies, internal tools, and general-purpose components ("Background IP") used in delivering the Services. To the extent Background IP is incorporated into client deliverables, Reno Techs grants the client a perpetual, non-exclusive, royalty-free license to use such Background IP solely as integrated into the deliverables.
Nothing in these Terms transfers ownership of Background IP to the client.
5.3 Client Data
The client retains all rights to their data and the data of their end users. Reno Techs has no ownership interest in client data and processes it only as directed and as necessary to provide the Services. See our Privacy Policy for further detail.
6. Confidentiality
Each party may disclose to the other confidential information in connection with the Services ("Confidential Information"). Each party agrees to:
• Hold the other party's Confidential Information in strict confidence
• Use Confidential Information only to fulfill obligations under these Terms or a signed agreement
• Not disclose Confidential Information to third parties without prior written consent, except to employees or contractors who need to know it and are bound by equivalent obligations
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed; or (d) is required to be disclosed by law or court order (with prompt notice to the disclosing party).
This confidentiality obligation survives termination of the engagement for a period of 5 years.
7. Warranties and Disclaimers
Reno Techs warrants that:
• Services will be performed in a professional and workmanlike manner
• Deliverables will materially conform to agreed specifications at the time of delivery
• We have the rights necessary to enter into and perform under these Terms
Disclaimer: Except as expressly stated, Services and deliverables are provided "as is" and "as available." We do not warrant that software will be error-free, uninterrupted, or free from security vulnerabilities. All implied warranties (including merchantability, fitness for a particular purpose, and non-infringement) are disclaimed to the fullest extent permitted by applicable law.
Software systems interact with third-party APIs, infrastructure, and data sources outside our control. We are not responsible for failures, changes, or outages in third-party systems.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
• Cap on liability: Reno Techs's total aggregate liability arising out of or relating to these Terms or any SOW shall not exceed the total fees paid by the client to Reno Techs in the 12 months preceding the event giving rise to the claim.
• Exclusion of consequential damages: Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, loss of business, or cost of substitute services, even if advised of the possibility of such damages.
These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise). Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for certain damages — in those jurisdictions, our liability is limited to the maximum extent permitted by law.
For EU consumers: nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be limited under applicable EU or member state law.
9. Data Processing
Where Reno Techs processes personal data on behalf of a client in the course of delivering Services, the parties will enter into a Data Processing Agreement ("DPA") that governs our obligations as a data processor under the GDPR (EU) 2016/679, the UK GDPR, and applicable US privacy law.
The DPA is incorporated by reference into the applicable SOW. If no DPA has been signed and personal data is involved, you agree to execute one upon request.
Our Privacy Policy (available at renotechs.com/privacy-policy) governs how we process personal data of website visitors and business contacts in our capacity as data controller.
10. Term and Termination
These Terms remain in effect for the duration of any active Services engagement. Either party may terminate an engagement for material breach if the breach is not cured within 30 days of written notice.
Reno Techs may terminate immediately if:
• The client fails to make payment after a 30-day overdue period
• The client directs us to perform illegal or unethical activities
• Continuing the engagement would cause material harm to third parties
Upon termination: the client's obligations to pay for completed work survive; each party shall return or destroy the other's Confidential Information on request; licenses granted to delivered work survive if payment has been made in full. Sections 5, 6, 8, 9, 11, and 12 survive termination.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-law provisions.
For clients based in the European Union: we acknowledge that EU consumers may also benefit from the mandatory provisions of the law of their country of residence.
Dispute Resolution: The parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of 30 days before initiating formal proceedings. If unresolved, disputes shall be subject to binding arbitration in Washoe County, Nevada under the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
Class action waiver: All claims must be brought in the parties' individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.
12. General Provisions
Entire Agreement: These Terms, together with any signed SOW or Services Agreement, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
Amendments: We may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of our services after an update constitutes acceptance.
Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
Assignment: The client may not assign rights or obligations under these Terms without our prior written consent. Reno Techs may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
Force Majeure: Neither party is liable for delays or failures caused by circumstances beyond reasonable control (natural disasters, government actions, network outages, etc.), provided prompt notice is given.
